Terms of Service

These Terms of Service (the "Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Sideline Sports, Inc., a Delaware corporation ("Sideline," "Company," "we," "our," or "us"), governing your access to and use of the Sideline website currently located at https://thesideline.club, and any successor websites, together with any related mobile applications, content, products, services, features, forums, communities, and related offerings (collectively, the "Platform").

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE PLATFORM, CREATING AN ACCOUNT, CLICKING "ACCEPT," OR OTHERWISE INDICATING YOUR ACCEPTANCE OF THESE TERMS, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY, WHICH IS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS OR THE PRIVACY POLICY, DO NOT ACCESS OR USE THE PLATFORM.

1. Changes to These Terms

We reserve the right to modify these Terms at any time in our sole discretion. If we make material changes, we will provide notice through the Platform, by email, or through other reasonable means.

Unless otherwise stated, revised Terms will become effective upon posting. Your continued use of the Platform following the effective date of any revised Terms constitutes your acceptance of the revised Terms.

If you do not agree to any revised Terms, you must discontinue use of the Platform.

2. Eligibility

You may access and use the Platform only if:

1. you are capable of forming a legally binding contract;
2. you are not prohibited from using the Platform under applicable law;
3. you have not previously been suspended or removed from the Platform; and
4. you comply with these Terms at all times.

If you are under the age of majority in your jurisdiction, you may use the Platform only with the consent and supervision of a parent or legal guardian.

If you are under the age of majority in your jurisdiction, your parent or legal guardian acknowledges and agrees to these Terms and the Privacy Policy on your behalf.

The Platform is not intended for children under thirteen (13) years of age. Individuals under thirteen (13) may not access or use the Platform.

3. The Platform

The Platform is a sports-focused digital platform that may provide, among other things:

• sports news, information, scores, statistics, rankings, commentary, analysis, and editorial content;
• personalized content recommendations;
• user accounts and profiles;
• community features, forums, discussion boards, comments, polls, events, messaging functionality, private groups, and social interactions;
• sponsor offers, referral opportunities, membership benefits, and promotional programs;
• premium content and subscription offerings;
• mobile applications and web-based services;
• notifications, alerts, and communications; and
• other products, services, features, or functionality introduced from time to time.

Certain features may be available only in specific regions or to specific categories of users.

We reserve the right to add, remove, modify, suspend, or discontinue any aspect of the Platform at any time without liability.

4. Account Registration

Certain features of the Platform may require you to register an account.

When creating an account, you agree to:

1. provide accurate, current, and complete information;
2. maintain and promptly update your information;
3. maintain the security and confidentiality of your login credentials;
4. restrict access to your account;
5. promptly notify us of any unauthorized access or use; and
6. accept responsibility for all activities occurring under your account.

You may not:

• create an account using false information;
• impersonate another person or entity;
• create multiple accounts for abusive or deceptive purposes;
• transfer or sell your account without our prior written consent; or
• allow another person to access the Platform through your account.

We reserve the right to refuse registration, reclaim usernames, suspend accounts, or terminate accounts in our sole discretion.

5. User Profiles

The Platform may permit users to create public or partially public profiles.

Information included in your profile may be visible to other users and may be indexed by search engines or otherwise publicly accessible.

You are solely responsible for any content, information, or materials you choose to include in your profile.

We reserve the right to remove, modify, restrict, or disable profiles that violate these Terms or that otherwise create legal, operational, reputational, or security concerns.

6. Platform License

Subject to your compliance with these Terms, Sideline grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your personal, non-commercial use.

No rights are granted except as expressly set forth herein.

You shall not:

1. copy, reproduce, distribute, publicly display, publicly perform, republish, download, transmit, sell, license, or otherwise exploit the Platform except as expressly authorized;
2. reverse engineer, decompile, disassemble, or attempt to derive source code from the Platform;
3. interfere with or disrupt the Platform or servers;
4. use automated means, bots, crawlers, scrapers, or data mining tools without our prior written consent;
5. use the Platform, Platform content, User Content, or any data obtained from the Platform to train, develop, improve, test, validate, or operate any artificial intelligence, machine learning, large language model, or similar technology without Sideline's prior written consent;
6. circumvent security measures or access restrictions;
7. use the Platform in violation of applicable law; or
8. access the Platform for competitive analysis, benchmarking, or development of a competing product or service.

Any unauthorized use immediately terminates the license granted under these Terms.

7. Acceptable Use

You agree not to use the Platform to:

1. violate any law, regulation, or third-party right;
2. harass, threaten, intimidate, stalk, abuse, or harm another person;
3. post defamatory, fraudulent, deceptive, misleading, or unlawful content;
4. infringe intellectual property rights;
5. distribute spam, unsolicited promotions, or unauthorized advertising;
6. transmit malware, viruses, malicious code, or harmful technology;
7. collect or harvest personal information of other users without authorization;
8. engage in unauthorized commercial activity;
9. manipulate engagement metrics, rankings, votes, comments, or platform functionality;
10. interfere with the operation, security, or integrity of the Platform; or
11. encourage or facilitate any of the foregoing;
12. share account credentials or permit access to the Platform in a manner intended to circumvent subscription restrictions, account limitations, or access controls.

We may investigate any suspected violation and take any action we deem appropriate, including content removal, account suspension, account termination, referral to law enforcement, or legal action.

8. User Content

8.1 User Content

The Platform may permit users to submit, upload, publish, post, transmit, display, distribute, or otherwise make available content, including text, comments, posts, messages, polls, reactions, images, graphics, audio, video, profile information, usernames, feedback, suggestions, and other materials (collectively, "User Content").

You retain ownership of any intellectual property rights you hold in your User Content, subject to the rights and licenses granted in these Terms.

You are solely responsible for your User Content and for any consequences arising from your submission, publication, or use thereof.

8.2 User Content License to Sideline

By submitting, posting, or making available any User Content through the Platform, you grant Sideline and its affiliates, successors, licensees, partners, service providers, and designees a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, transmit, display, perform, commercialize, exploit, and otherwise use such User Content in any media or format now known or later developed for any lawful business purpose.

This license includes the right to:

1. operate, improve, develop, market, and promote the Platform;
2. make User Content available to other users;
3. display User Content in connection with advertising, sponsorships, promotions, and commercial activities;
4. create derivative works and compilations;
5. archive and preserve User Content; and
6. use User Content for analytics, machine learning, artificial intelligence, product development, moderation, and operational purposes, and for training, testing, validating, improving, and developing machine learning models, artificial intelligence systems, recommendation engines, personalization technologies, and future products and services.

To the maximum extent permitted by law, you waive any moral rights, publicity rights, attribution rights, or similar rights relating to User Content.

8.3 Representations Regarding User Content

You represent and warrant that:

1. you own or control all rights necessary to grant the licenses described in these Terms;
2. your User Content does not infringe, misappropriate, or violate any third-party rights;
3. your User Content complies with applicable laws and these Terms; and
4. the publication and use of your User Content by Sideline will not violate any rights of any third party.

8.4 Feedback

If you provide suggestions, ideas, recommendations, feedback, enhancement requests, or other comments regarding the Platform ("Feedback"), you grant Sideline a perpetual, irrevocable, worldwide, royalty-free right to use, modify, commercialize, and otherwise exploit such Feedback without restriction, attribution, or compensation.

9. Community Features

9.1 Community Participation

The Platform may include forums, message boards, comments, discussion groups, communities, social features, interactive experiences, and similar functionality (collectively, "Community Features").

Participation in Community Features is a privilege, not a right.

Sideline reserves the right to restrict, suspend, terminate, remove, edit, moderate, disable, or otherwise manage participation in Community Features at any time and for any reason.

9.2 Community Standards

Users shall not post, publish, transmit, or otherwise make available content that:

1. is unlawful, fraudulent, misleading, deceptive, or defamatory;
2. promotes violence, hatred, discrimination, harassment, or abuse;
3. contains threats, intimidation, or personal attacks;
4. contains sexually explicit or obscene material;
5. promotes illegal activity;
6. infringes intellectual property rights;
7. contains another person's confidential or personal information without authorization;
8. constitutes spam, solicitation, or unauthorized advertising;
9. impersonates any person or entity; or
10. is otherwise objectionable as determined by Sideline in its sole discretion.

9.3 Moderation Rights

Sideline has no obligation to monitor User Content or Community Features.

However, Sideline reserves the right, but not the obligation, to:

1. review User Content;
2. remove, edit, restrict, disable, or decline to publish any User Content for any reason or no reason, in its sole discretion;
3. investigate alleged violations;
4. suspend or terminate user accounts;
5. preserve evidence and cooperate with law enforcement authorities; and
6. take any action deemed necessary to protect the Platform, users, or Sideline.

Sideline may take such actions without prior notice and without liability.

9.4 No Endorsement

User Content reflects the views of the applicable users and not those of Sideline.

Sideline does not endorse, verify, guarantee, or assume responsibility for User Content.

10. Intellectual Property

10.1 Ownership

The Platform, including all software, technology, source code, interfaces, designs, text, graphics, logos, trademarks, service marks, databases, compilations, audio, video, content, features, functionality, and other materials, together with all intellectual property rights therein, are owned by Sideline or its licensors and are protected by intellectual property and proprietary rights laws.

Except for the limited license expressly granted under these Terms, no rights are transferred to you.

All rights not expressly granted herein are reserved by Sideline and its licensors.

10.2 Trademarks

The Sideline name, logos, branding elements, slogans, and related marks are trademarks or service marks of Sideline or its affiliates.

You may not use any such marks without prior written permission.

10.3 Third-Party Content

The Platform may contain content owned by third parties, including leagues, teams, athletes, publishers, licensors, data providers, advertisers, and users.

All rights in such content remain with the applicable owners.

Nothing in these Terms grants any ownership rights in third-party content.

11. Copyright Policy

Sideline respects the intellectual property rights of others and expects users to do the same.

If you believe content available through the Platform infringes your copyright, you may submit a notice containing:

1. identification of the copyrighted work claimed to have been infringed;
2. identification of the allegedly infringing material;
3. your contact information;
4. a statement that you have a good faith belief that the use is unauthorized;
5. a statement made under penalty of perjury that the information in the notice is accurate; and
6. your physical or electronic signature.

Sideline reserves the right to remove allegedly infringing content and terminate repeat infringers.

12. Paid Memberships and Subscriptions

12.1 Subscription Services

Certain features of the Platform may be offered on a paid, subscription, membership, premium-access, or recurring-payment basis (collectively, "Subscriptions").

Subscription offerings, pricing, features, benefits, and eligibility requirements may change at any time.

12.2 Billing Authorization

By purchasing a Subscription, you authorize Sideline and its payment processors to charge the applicable payment method for all fees, taxes, renewals, upgrades, and related charges.

You are responsible for maintaining valid payment information.

12.3 Automatic Renewal

Unless otherwise disclosed at the time of purchase, Subscriptions automatically renew for successive renewal periods until cancelled.

You authorize recurring charges using your designated payment method unless and until cancellation occurs.

12.4 Cancellation

Users may cancel Subscriptions at any time through the applicable account settings or platform marketplace.

Cancellation becomes effective at the end of the then-current billing period unless otherwise required by law.

12.5 Refunds

Except as required by applicable law or expressly stated by Sideline, all fees are non-refundable.

Partial billing periods, unused services, and promotional periods are generally not eligible for refunds.

12.6 Taxes

Unless otherwise expressly stated, all fees are exclusive of applicable taxes. You are responsible for all sales, use, value-added, goods and services, withholding, and similar taxes associated with your purchase or use of Subscription services, excluding taxes based on Sideline's net income.

12.7 App Marketplace Purchases

Where Subscriptions are purchased through Apple, Google, or another third-party marketplace, billing, cancellation, refunds, and subscription management may be governed by the applicable marketplace terms and policies.

12.8 Changes to Subscription Services

Sideline reserves the right to modify pricing, features, functionality, membership benefits, availability, or subscription offerings at any time.

Reasonable advance notice will be provided where required by applicable law.

12.9 Suspension or Termination

Sideline may suspend, restrict, or terminate Subscription access for violations of these Terms, fraud, payment failures, abuse, security concerns, or other legitimate business reasons.

13. Third-Party Services and Content

13.1 Third-Party Content

The Platform may display, include, provide access to, or otherwise make available content, information, statistics, data, scores, rankings, news, analysis, advertisements, promotions, products, services, software, websites, applications, or materials provided by third parties ("Third-Party Content").

Third-Party Content is provided solely for convenience and informational purposes.

Sideline does not control, endorse, verify, monitor, investigate, guarantee, or assume responsibility for any Third-Party Content.

Your use of or reliance upon any Third-Party Content is solely at your own risk.

13.2 Third-Party Websites and Services

The Platform may contain links to third-party websites, applications, products, or services.

Sideline is not responsible for the availability, accuracy, legality, privacy practices, content, products, services, or activities of any third party.

Your interactions with third parties are solely between you and the applicable third party.

Sideline disclaims all liability arising from your use of or interaction with any third-party website, service, or content.

13.3 Advertisers and Sponsors

The Platform may contain advertisements, sponsorships, affiliate links, promotions, endorsements, or commercial content.

Sideline is not responsible for representations, offers, products, services, or conduct of advertisers, sponsors, or promotional partners.

Any dealings between you and such parties are solely between you and the applicable third party.

13.4 Promotions, Benefits and Referral Programs

The Platform may offer promotions, contests, referral programs, membership benefits, sponsor offers, discounts, rewards, or similar programs. Such programs may be subject to additional terms, conditions, eligibility requirements, or restrictions. Sideline reserves the right to modify, suspend, or discontinue any such program at any time without liability.

14. Mobile Application Terms

14.1 Mobile Applications

The Platform may be made available through mobile applications distributed through the Apple App Store, Google Play Store, or other authorized marketplaces.

Your use of any mobile application is subject to these Terms and any applicable marketplace terms.

14.2 App Marketplace Terms

Certain app marketplace operators may impose additional terms and conditions applicable to your download, installation, access to, or use of the Platform. Your use of the Platform through any app marketplace is subject to any applicable marketplace terms and conditions.

Apple App Store Terms

If you access the Platform through an application obtained from Apple's App Store:

1. these Terms are between you and Sideline, not Apple;
2. Apple is not responsible for the application or its content;
3. Apple has no obligation to provide maintenance or support services;
4. to the maximum extent permitted by law, Apple has no warranty obligations regarding the application;
5. Apple shall not be responsible for addressing any claims relating to the application, including product liability, legal compliance, or consumer protection claims;
6. Apple is a third-party beneficiary of these Terms and may enforce these Terms against you; and
7. you represent that you are not located in a country subject to a U.S. Government embargo and are not listed on any U.S. Government restricted-party list.

14.3 Mobile Carrier Charges

Your wireless carrier's standard messaging, data, and other rates may apply when using the Platform.

You are solely responsible for all such charges.

15. Privacy

Your collection and use of personal information through the Platform is governed by our Privacy Policy, available at https://thesideline.club/privacy, which is incorporated into these Terms by reference. Sideline may monitor, collect, analyze, and use information regarding Platform performance, usage, and activity to operate, maintain, improve, secure, and develop the Platform.

By using the Platform, you acknowledge that Sideline may collect, use, disclose, store, and otherwise process information as described in the Privacy Policy.

16. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIDELINE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, PARTNERS, SUCCESSORS, AND ASSIGNS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, RELIABILITY, QUALITY, OR QUIET ENJOYMENT.

SIDELINE DOES NOT WARRANT THAT:

1. THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
2. THE PLATFORM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
3. ANY CONTENT WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE;
4. DEFECTS OR ERRORS WILL BE CORRECTED; OR
5. THE PLATFORM WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

SPORTS CONTENT, NEWS, ANALYSIS, PREDICTIONS, OPINIONS, RANKINGS, RECRUITING INFORMATION, PLAYER INFORMATION, STATISTICS, AND SIMILAR MATERIALS ARE PROVIDED FOR INFORMATIONAL AND ENTERTAINMENT PURPOSES ONLY AND SHOULD NOT BE RELIED UPON AS FACTUAL, PROFESSIONAL, INVESTMENT, LEGAL, OR OTHER ADVICE. FOR THE AVOIDANCE OF DOUBT - SCORES, STATISTICS, RANKINGS, RECRUITING INFORMATION, PLAYER INFORMATION, SCHEDULES, AND SIMILAR DATA MAY BE DELAYED, INCOMPLETE, UNAVAILABLE, OR INACCURATE AND ARE PROVIDED WITHOUT ANY WARRANTY OF ANY KIND.

17. Assumption of Risk

You voluntarily assume all risks associated with your use of the Platform and any reliance upon information, content, user contributions, recommendations, rankings, statistics, opinions, commentary, or other materials made available through the Platform.

You understand that user-generated content may be inaccurate, offensive, misleading, objectionable, or otherwise inappropriate.

Your use of the Platform is entirely at your own risk.

18. Indemnification

You agree to defend, indemnify, and hold harmless Sideline and its affiliates, officers, directors, employees, contractors, agents, licensors, partners, successors, and assigns from and against any and all claims, demands, actions, proceedings, investigations, liabilities, damages, judgments, settlements, losses, costs, and expenses, including reasonable attorneys' fees and costs, arising out of or relating to:

1. your access to or use of the Platform;
2. your User Content;
3. your violation of these Terms;
4. your violation of applicable law;
5. your infringement or violation of any third-party rights; or
6. any activity occurring through your account.

Sideline reserves the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate fully with such defense.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIDELINE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, PARTNERS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATING TO THE PLATFORM, THESE TERMS, OR YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF SIDELINE ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:

1. ONE HUNDRED U.S. DOLLARS (US $100); OR
2. THE TOTAL AMOUNT PAID BY YOU TO SIDELINE FOR THE PLATFORM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW REGARDLESS OF WHETHER ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

20. Time Limit for Claims

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CLAIM OR CAUSE OF ACTION ACCRUES, OR SUCH CLAIM SHALL BE PERMANENTLY BARRED.

21. Dispute Resolution; Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

21.1 Informal Resolution

Before initiating arbitration or legal proceedings, the parties agree to first attempt to resolve any dispute informally.

A party seeking to initiate a dispute must provide written notice describing the nature of the dispute and the requested relief.

The parties shall attempt in good faith to resolve the dispute during a thirty (30) day period following receipt of such notice.

21.2 Agreement to Arbitrate

Except as expressly provided below, any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or the relationship between the parties shall be resolved exclusively through final and binding arbitration.

Arbitration shall be administered by the American Arbitration Association ("AAA") in accordance with its applicable consumer arbitration rules.

Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.

21.3 Arbitration Procedures

Unless otherwise required by applicable law:

1. arbitration shall be conducted by a single arbitrator;
2. arbitration may be conducted remotely, by written submissions, or at a mutually agreed location;
3. the arbitrator shall have exclusive authority to resolve disputes regarding arbitrability and enforceability of this arbitration agreement; and
4. the arbitrator may award only those remedies available under applicable law.

21.4 Exceptions

Nothing in these Terms shall prevent Sideline from seeking temporary, preliminary, or permanent injunctive relief or other equitable remedies in a court of competent jurisdiction to protect:

1. intellectual property rights;
2. confidential information;
3. proprietary rights;
4. platform security; or
5. misuse or abuse of the Platform.

22. Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND SIDELINE AGREE THAT ALL DISPUTES SHALL BE BROUGHT SOLELY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, REPRESENTATIVE ACTION, MASS ACTION, PRIVATE ATTORNEY GENERAL ACTION, CONSOLIDATED ACTION, OR OTHER COLLECTIVE PROCEEDING.

THE ARBITRATOR SHALL HAVE NO AUTHORITY TO HEAR OR PRESIDE OVER ANY CLASS, COLLECTIVE, REPRESENTATIVE, OR MASS PROCEEDING.

22.1 Arbitration and Class Action Waiver Severability

If all or any portion of the Class Action Waiver set forth in this Section 22 is found to be invalid, unenforceable, or unlawful with respect to a particular claim or request for relief, then such claim or request for relief shall be severed and shall proceed in a court of competent jurisdiction, and the remaining portions of the arbitration agreement and Class Action Waiver shall remain in full force and effect to the maximum extent permitted by law.

23. Jury Trial Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND SIDELINE KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVE ANY RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM.

24. Termination

24.1 Termination by User

You may discontinue use of the Platform and terminate your account at any time.

Termination does not relieve you of obligations accrued prior to termination.

24.2 Termination by Sideline

Sideline may suspend, restrict, disable, or terminate your access to the Platform, your account, User Content, subscriptions, or any portion of the Platform at any time, with or without notice, for any reason or no reason, including if Sideline believes that:

1. you violated these Terms;
2. your conduct presents legal, regulatory, operational, security, reputational, or business risk;
3. your account is inactive;
4. required by law; or
5. continued access is not in Sideline's interests.

24.3 Effect of Termination

Upon termination:

1. rights granted to you under these Terms immediately cease;
2. you must discontinue all use of the Platform; and
3. provisions that by their nature should survive termination shall survive, including intellectual property, licenses, disclaimers, indemnification, limitations of liability, dispute resolution, and miscellaneous provisions.

25. Electronic Communications

By using the Platform, you consent to receive communications from Sideline electronically, including by email, text message, in-app notification, push notification, or through the Platform.

You agree that electronic communications satisfy any legal requirement that communications be in writing.

26. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Platform shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

27. Miscellaneous

27.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and Sideline regarding the Platform.

27.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

27.3 Waiver

No waiver by Sideline of any provision or right shall be deemed a continuing waiver or a waiver of any other provision or right.

27.4 Assignment

You may not assign or transfer any rights or obligations under these Terms without Sideline's prior written consent.

Sideline may assign these Terms without restriction.

27.5 Force Majeure

Sideline shall not be liable for any delay or failure resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, internet failures, utility interruptions, or failures of third-party service providers.

27.6 No Agency

No joint venture, partnership, employment, agency, fiduciary, or similar relationship is created by these Terms.

Sideline makes no representation that the Platform is appropriate or available for use outside the United States.
